Anadolu Efes announced an agreement for the acquisition by Efes Breweries International, a non-controlling subsidiary holding 100% ownership of the non-controlling shares in AB InBev Efes BV, the joint venture established between Anadolu Efes and AB InBev for operations in Russia and Ukraine.
The agreement specifies that the acquisition amount will be determined based on the annual cash flow performance of the company in the countries where they operate for a specific period. The valuation report indicated a value range of $1.1 billion to $1.3 billion for the joint venture.
Anadolu Efes subsidiary EBI has reached an agreement to purchase AB InBev’s shares in the joint venture AB InBev Efes BV in Russia.
According to the disclosure made to the Public Disclosure Platform (KAP), as a result of the acquisition, Anadolu Efes will become the sole owner of AB InBev Efes through EBI.
Upon completion of the EBI transaction, there won’t be an immediate cash payment. Future payments will be determined based on the annual cash flow performance of AB InBev Efes BV in the countries where they operate for a ‘specific and reasonable period.’
According to the independent report by KPMG, AB InBev Efes BV has been valued at $1.1 billion to $1.3 billion. The transaction will be completed following approvals from the relevant authorities.
Upon completion of the transaction, the impact on the total volume of Anadolu Efes will be limited.
